CORPORATE FINANCE

Capital is the lifeblood of any business, but it is not easily obtained - especially in today's market.   While the financing markets have exhibited renewed strength since the burst of the internet and telecommunications bubbles in 2000-2001, both equity investors and lenders are deploying their capital with a heightened sense of discretion in light of the recent troubles in the sub-prime lending market. Only those companies with well conceived business plans, experienced management teams, differentiated products, strong distribution, and compelling future prospects will receive funding.

Holbrook & Company understands what it takes to raise capital in this environment and has extensive contacts among equity investors, lenders, and other sources of financing to help its clients raise the capital they need to run their business.

It is our experience that a formal, competitive process results in the best outcome for our corporate finance clients.  The Firm's professionals leverage their extensive deal experience to guide corporate issuers through a rigorous and intense financing process:

Structure:

How much capital is needed? What is the most appropriate financing instrument? Holbrook & Company will work with the client to understand its financing need and structure a deal that achieves the client's objectives in the most efficient and least dilutive manner.

Investors:

Financial investors or strategic? Who are the most likely? Who are the most appealing? Why? What other less obvious investors might have an interest? What value does the client represent to each investor? Holbrook & Company will create a highly targeted potential investor list to guide the marketing process.

Valuation:

What is the client's business worth? Holbrook & Company will perform a comprehensive valuation analysis to guide its client's expectations and defend an attractive value in the financing process.

Diligence:

Holbrook & Company will perform a due diligence investigation to understand the client's business, best represent the client in the marketplace, and prepare for the due diligence process of potential investors.

Memoranda:

Holbrook & Company will draft memoranda that comprehensively describe the business and identify the most compelling elements of the company's value.

Marketing:

Holbrook & Company will contact potential investors approved by the client, position the investment opportunity, qualify interest levels, and manage the future interaction between the client and the potential investor.

Negotiation:

Once sufficient interest in the client has been established, Holbrook & Company will solicit term sheets from qualified investors, work with the client to analyze the attractiveness of each offer, and negotiate with potential investors to achieve the most attractive valuation, structure, and terms.

Closing:

Holbrook & Company will work with the client to satisfy the due diligence needs of the investor and will provide input to the client's legal counsel with respect to the definitive documentation to ensure a smooth, successful closing.
